1. Summary
This page sets out the terms and legal conditions governing the relationship between the users of this website and Music Notation Hub Inc., the owner and operator of the website www.musicnotationhub.com.
Music Notation Hub Inc. is a corporation incorporated under the laws of Canada, operating in Ottawa, Ontario, Canada, and conducts business under the name "Music Notation Hub."
As a user of this website, it is important that you read and understand these terms before continuing to use the site. By accessing or using this website, or by engaging Music Notation Hub Inc. for any services, you agree to be bound by these Terms of Use in their entirety.
2. Definitions
In these Terms of Use, the following terms have the meanings set out below:
- "Client" or "User" means any person or entity who accesses the Website or engages Music Notation Hub Inc. for services.
- "Services" means the music transcription, engraving, arrangement, composition, orchestration, transposition, proofreading, parts extraction, and all other music notation, audio production, and related services offered by Music Notation Hub Inc.
- "Deliverables" means the sheet music, notation files, audio files, video files, and any other work product created by Music Notation Hub Inc. in the course of providing Services.
- "Source Materials" means any audio recordings, sheet music, manuscripts, MIDI files, reference scores, lyrics, AI-generated audio, video files, or other materials submitted by the Client for the purpose of receiving Services.
- "Website" means the website located at www.musicnotationhub.com, including all pages, content, and functionality.
- "Order Confirmation" means the written communication (typically email) from Music Notation Hub Inc. confirming acceptance of the Client's service request and the agreed scope of work.
- "Objective Services" means transcription, transposition, tabs conversion, parts extraction, engraving, proofreading, and MIDI cleanup — services where the output is measured against a definitive source.
- "Creative Services" means arrangement, composition, and orchestration — services involving subjective artistic interpretation.
3. General Conditions of Use
Access to and use of the Website, including all content and services made available through it, are subject to these Terms of Use. Any person who accesses or uses the Website agrees to comply with and be bound by these Terms of Use, as well as all applicable laws and regulations.
Music Notation Hub Inc. reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Website or any part of its content or services, at any time and without prior notice.
Music Notation Hub Inc. reserves the right to refuse service to any person or entity at its sole discretion, without obligation to provide reasons.
4. Collection of Personal Information
The collection, use, and protection of personal information provided by Users through the Website are governed by our Privacy Policy, which forms part of these Terms of Use. By using this Website, you acknowledge that you have read and understood the Privacy Policy and agree to the collection and use of your personal information in accordance with its terms and applicable data protection laws.
Music Notation Hub Inc. complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) as a Canadian corporation. For Users located in the European Economic Area (EEA), the United Kingdom, or Switzerland, Music Notation Hub Inc. also adheres to the applicable requirements of the General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679), including lawful bases for processing, data subject rights, and cross-border data transfer safeguards. For Users in other jurisdictions, Music Notation Hub Inc. complies with applicable local data protection laws to the extent required.
5. Intellectual Property and Client Obligations
All content published on the Website, including but not limited to text, graphics, logos, audio, video, downloads, and design elements, is the property of Music Notation Hub Inc. or its licensors and is protected by applicable intellectual property laws. No content from the Website may be reproduced, distributed, modified, or exploited, in whole or in part, without the prior written authorization of Music Notation Hub Inc.
Where Music Notation Hub Inc. provides Services, the following terms apply:
a) Third-Party Copyrighted Works
If the Client requests transcription, engraving, or arrangement of a musical work for which the Client does not own or control the copyright, the resulting Deliverables are provided solely for private, non-commercial use.
"Private, non-commercial use" is strictly defined as: personal study, practice, teaching within a private instructional setting, and private performance not open to the general public. It does not include, and the Client shall not engage in: distribution, publication, broadcast, streaming, online posting (including to social media, YouTube, or any digital platform), public performance for profit, synchronization with audiovisual content, resale, sublicensing, or any other form of commercial exploitation.
Music Notation Hub Inc. does not grant any license or authorization to publish, distribute, resell, perform, broadcast, or otherwise exploit such Deliverables beyond private, non-commercial use.
The Client acknowledges and warrants that they are solely responsible for determining the copyright status of any musical work submitted and for obtaining any required permissions, licenses, mechanical licenses, synchronization licenses, or clearances from the relevant copyright holders, publishers, or collective rights organizations (such as SOCAN, ASCAP, BMI, SESAC, or equivalent) before any public or commercial use of the Deliverables.
Music Notation Hub Inc. does not provide legal advice regarding copyright clearance and assumes no liability for any unauthorized use of copyrighted works by the Client or any third party to whom the Client provides the Deliverables.
In such cases, Music Notation Hub Inc. retains all rights in the notation, transcription, engraving, and arrangement work it creates (the "Notation Work"). Music Notation Hub Inc. may, at its sole discretion, reuse, adapt, license, or offer for sale such Notation Work to third parties, provided that such activities comply with applicable copyright laws, including the payment of any required royalties to the original copyright holders. The Client acknowledges this retention of rights and agrees not to claim exclusive ownership of the Notation Work.
b) Client-Owned or Authorized Works
If the Client is the copyright holder of the underlying musical work, or is duly authorized by the copyright holder to commission the work, the Client shall, upon full payment, receive full ownership of the resulting Deliverables, including all rights to use, distribute, publish, perform, license, or sell the Deliverables without restriction.
In this case, the Deliverables shall, to the extent permitted by applicable law, be considered a work made for hire. To the extent that the Deliverables do not qualify as a work made for hire under applicable law, Music Notation Hub Inc. hereby assigns to the Client all right, title, and interest in the Deliverables upon receipt of full payment.
Music Notation Hub Inc. does not retain any rights in the Deliverables and makes no claim to the notation, arrangement, or transcription work created, except for the limited right to use anonymized excerpts for portfolio and promotional purposes as described in Section 5(d).
The Client represents and warrants that they are the rightful copyright holder or authorized representative and assumes full responsibility for the accuracy of this representation. The Client shall provide evidence of ownership or authorization upon request. Music Notation Hub Inc. shall not be liable for any claims arising from a false or inaccurate representation of copyright ownership.
c) AI-Generated Musical Works
For music generated using artificial intelligence tools (including but not limited to Suno, Udio, AIVA, Boomy, Soundraw, and similar platforms), the copyright status of the underlying composition may vary by jurisdiction and may be uncertain, contested, or unrecognized under applicable law.
The Client acknowledges that:
- Music Notation Hub Inc. does not provide legal advice regarding the copyright status of AI-generated works;
- The legal landscape governing AI-generated content is evolving and may change;
- The terms of service of the AI platform used to generate the music may impose restrictions on how the output can be used, published, or commercialized;
- It is the Client's sole responsibility to review and comply with the terms of the AI platform and any applicable laws.
Where the copyright status of an AI-generated work is unclear or unrecognized, the Deliverables shall be treated as if the Client is the copyright holder for the purposes of these terms. Upon full payment, the Client shall receive full ownership of the resulting transcription, engraving, or arrangement work created by Music Notation Hub Inc.
The Client assumes full responsibility for any claims, disputes, or liabilities arising from the use, distribution, publication, or commercial exploitation of Deliverables based on AI-generated works, including any claims by the AI platform provider or third parties.
d) Confidentiality and Portfolio Use
Music Notation Hub Inc. treats all Client submissions confidentially by default. Source Materials and Deliverables are not shared publicly or with third parties outside of the project scope, except with trusted contractors and subcontractors who assist in delivering the Services and who are bound by confidentiality obligations.
At the Client's request, and where agreed in writing prior to the commencement of the project, Music Notation Hub Inc. may treat specific projects under a formal Non-Disclosure Agreement (NDA), in which case the related materials will not be disclosed, reused, or published under any circumstances specified in the NDA.
Portfolio use: Music Notation Hub Inc. may use anonymized excerpts of completed work (such as sample score images, short audio clips of before-and-after comparisons, or redacted project descriptions) for portfolio, promotional, and marketing purposes, unless:
- The Client has opted out in writing prior to project completion; or
- A confidentiality agreement (NDA) is in place that prohibits such use.
Portfolio excerpts will not identify the Client by name, and any identifying information (such as song titles, artist names, or project-specific details) will be removed or anonymized. The Client may request the removal of portfolio excerpts at any time by contacting us in writing.
e) Buyout of Arrangement and Notation Rights
Where the Client does not own the copyright to the underlying musical work (Section 5a), Music Notation Hub Inc. may offer, by separate written agreement and for an additional fee, a buyout of the arrangement and notation rights created as part of the Services.
Where such a buyout is agreed, the relevant Deliverables shall, to the extent permitted by law, be considered a work made for hire for the Client. To the extent that the Deliverables do not qualify as a work made for hire, Music Notation Hub Inc. assigns to the Client all right, title, and interest in the arrangement or notation work created.
For the avoidance of doubt, any buyout applies only to the arrangement or notation work created by Music Notation Hub Inc. and does not include ownership of, or publishing rights to, the underlying musical composition. The Client remains solely responsible for securing any required permissions or licenses from the original copyright holders for any public or commercial use.
Music Notation Hub Inc. retains the moral right of attribution under the Copyright Act (Canada) unless waived in writing as part of the buyout agreement.
f) Moral Rights
Under the Copyright Act (Canada), creators retain moral rights in their work, including the right of attribution and the right to the integrity of the work, even where copyright has been assigned. Music Notation Hub Inc. does not waive its moral rights unless expressly agreed in writing.
Where the Client is the copyright holder and the Deliverables are created as a work made for hire or assigned to the Client, the Client agrees not to distort, mutilate, or modify the Deliverables in a manner prejudicial to the honour or reputation of the creator, except with prior written consent.
g) Third-Party Links
The Website may contain links to third-party websites or content owned or operated by third parties. Music Notation Hub Inc. has no control over, and assumes no responsibility for, the content, policies, or practices of any third-party websites. References to such content will be removed where required by law once notified.
6. Terms of Sale
By placing an order through the Website or by engaging Music Notation Hub Inc. for Services via email, phone, or any other communication channel, you are offering to purchase a service subject to these Terms of Use. All orders are subject to acceptance by Music Notation Hub Inc. and availability of services.
All Services provided by Music Notation Hub Inc. are custom services. Once work has commenced, orders cannot be canceled and payments are generally non-refundable, except as specified in Section 9 (Cancellations and Refunds).
Delivery times are estimates provided in good faith based on the information available at the time of Order Confirmation. Music Notation Hub Inc. makes every reasonable effort to meet agreed timelines and will communicate promptly with the Client should any adjustment become necessary due to project complexity, quality of Source Materials, or unforeseen circumstances. Delivery estimates are not binding commitments and do not constitute guaranteed deadlines.
Music Notation Hub Inc. reserves the right to refuse or decline any request at its sole discretion. If your order is accepted, you will receive an Order Confirmation by email outlining the agreed scope of Services. Only the Services expressly listed in the Order Confirmation form part of the contract between you and Music Notation Hub Inc.
When placing an order, you represent and warrant that:
- All information provided is accurate and complete;
- Any Source Materials provided are of sufficient quality to enable Music Notation Hub Inc. to perform the requested Services (see Section 10, Accuracy and Quality);
- You either own or have the necessary rights or authorization to submit any musical materials provided for transcription, engraving, or arrangement, OR you acknowledge that the resulting Deliverables are for private, non-commercial use only as defined in Section 5(a);
- You understand that Music Notation Hub Inc. does not provide legal advice regarding copyright, licensing, or intellectual property matters;
- You accept full responsibility for ensuring that your use of the Deliverables complies with applicable copyright laws in your jurisdiction.
Any additional services requested beyond the original scope, including but not limited to revisions outside the agreed scope, confidentiality requests, source file exports, parts extraction, buyouts of arrangement or notation rights, or changes to the project direction, may be subject to additional fees and must be agreed upon in writing.
7. Our Contract
A contract between the Client and Music Notation Hub Inc. is formed only once Music Notation Hub Inc. has confirmed acceptance of the requested Services in writing, typically by email (the "Order Confirmation").
The contract covers solely the Services expressly described in the Order Confirmation. Any additional Services, revisions outside the agreed scope, changes to the project scope or direction, or changes requested after acceptance may require a separate agreement and may be subject to additional fees.
Email communications and written confirmations issued by Music Notation Hub Inc. form an integral part of the contract and are binding on both parties.
These Terms of Use, the Order Confirmation, the Privacy Policy, and any NDA or supplementary written agreement together constitute the entire agreement between the Client and Music Notation Hub Inc. with respect to the Services described therein, and supersede all prior discussions, representations, or agreements, whether oral or written.
8. Standard Delivery and File Formats
Unless otherwise agreed in writing, standard delivery for notation services includes a print-ready PDF only. Standard delivery for audio services includes WAV and MP3 files.
All other file formats — including but not limited to notation source files (Sibelius, Dorico, MuseScore, Finale), individual instrument parts (parts extraction), MIDI file export, MusicXML export, chord diagrams, simplified versions, and transposition to a different key — are paid add-ons available at an additional cost. These extras are never included in the standard delivery price unless expressly stated in the Order Confirmation.
The Client acknowledges that requesting additional file formats or deliverables after project completion may be subject to additional fees.
9. Cancellations and Refunds
a) Cancellation Before Work Begins
If the Client requests cancellation before Music Notation Hub Inc. has commenced work on the project, a full refund will be issued.
b) Cancellation After Work Has Commenced
If the Client requests cancellation after work has commenced, a partial refund may be issued based on the proportion of work already completed. Music Notation Hub Inc. will provide an honest assessment of progress completed and calculate any refund accordingly. Completed portions of the work may be delivered to the Client at Music Notation Hub Inc.'s discretion.
c) Refund Policy
Music Notation Hub Inc. does not offer refunds as standard policy for completed Services. We guarantee satisfaction and will revise the Deliverables in accordance with the revision policy (Section 11) until the Client is satisfied with the result.
In rare cases where expectations cannot be aligned despite good-faith revision efforts, refunds may be considered on a case-by-case basis at the sole discretion of Music Notation Hub Inc.
Refunds are not available where:
- The Deliverables meet the specifications outlined in the Order Confirmation;
- The Client's dissatisfaction arises from a change in project direction or preferences after work has commenced;
- The quality of the Source Materials provided by the Client was insufficient to produce the requested result (see Section 10); or
- The Client has failed to respond to revision requests or feedback inquiries within 30 days.
d) Pricing Errors
If an error is discovered in the pricing of a service you have ordered, Music Notation Hub Inc. will inform you as soon as reasonably possible and provide you with the option to reconfirm the order at the correct price or cancel the order. If you choose to cancel and payment has already been made, a full refund will be issued.
10. Accuracy, Quality, and Source Material
Music Notation Hub Inc. strives for the highest level of accuracy and quality in all Deliverables. However, the Client acknowledges that:
- Source material quality affects output quality. The accuracy and completeness of Deliverables depend directly on the quality of the Source Materials provided by the Client. Low-quality audio recordings, poorly scanned manuscripts, incomplete reference materials, or unclear instructions may result in Deliverables that contain interpretive decisions or approximations. Music Notation Hub Inc. is not liable for inaccuracies caused by insufficient Source Material quality.
- Transcription involves interpretation. Music transcription is the process of converting audio into written notation. In cases where musical passages are ambiguous, obscured by mix quality, or subject to multiple valid interpretations, the transcriber will exercise professional judgment. The Client may request corrections or alternative interpretations through the revision process.
- Arrangement and composition are creative. Creative Services involve artistic interpretation and subjective decision-making. While Music Notation Hub Inc. will make every effort to follow the Client's instructions and preferences, the Client acknowledges that creative work involves a degree of artistic judgment.
- No guarantee of suitability for publication. Unless specifically requested and agreed, Deliverables are prepared for the Client's intended use as described in the Order Confirmation. Music Notation Hub Inc. does not guarantee that Deliverables meet the specific submission or formatting requirements of any third-party publisher, record label, contest, or licensing body. Publication-readiness should be discussed and confirmed in the Order Confirmation.
11. Revisions and Corrections
a) Objective Services
For Objective Services (transcription, transposition, tabs conversion, parts extraction, engraving, proofreading, MIDI cleanup), accuracy is guaranteed. Any errors — defined as demonstrable inaccuracies compared to the Source Materials — will be corrected at no additional charge.
b) Creative Services
For Creative Services (arrangement, composition, orchestration), two (2) rounds of revisions are included in the project price. Additional rounds of revision will be quoted based on scope and complexity.
c) Audio and Production Services
For audio and production services (vocal tuning, scrolling scores, Synthesia tutorials, Soundslice tutorials, session musicians, vocal mockup productions, music production, podcast editing, mixing, and mastering), one (1) round of revisions is included in the project price. Additional revisions will be quoted based on scope.
d) What Constitutes a Revision vs. New Scope
Included in revisions:
- Corrections to errors or inaccuracies in the Deliverables
- Minor adjustments such as transposition to a different key, tempo changes, or small layout modifications within the original project scope
- Formatting or notation style preferences within the original project scope
Considered new scope (requires a new quote):
- Structural changes (adding new sections, removing large portions, reordering the composition)
- Reharmonization or significant arrangement changes
- Combining multiple separate projects into one
- Fundamentally changing the direction, style, or instrumentation of the project
- Requesting additional parts, instruments, or voices not included in the original scope
e) Revision Request Period
Revision requests must be submitted within 30 days of delivery of the Deliverables. After 30 days, Music Notation Hub Inc. reserves the right to treat revision requests as new projects subject to current pricing.
The Client is responsible for reviewing the Deliverables promptly upon delivery. If the Client does not submit any feedback or revision requests within 30 days, the Deliverables shall be deemed accepted.
12. Pricing and Payment
a) Pricing
All prices displayed on the Website are starting prices and are provided for guidance only. Final pricing is determined based on the specific requirements of each project (including length, complexity, number of instruments, deadline, and requested add-ons) and is confirmed in the Order Confirmation.
Music Notation Hub Inc. reserves the right to modify pricing, service offerings, or availability at any time prior to Order Confirmation. Price changes do not affect orders that have already been confirmed.
Quotes are valid for 30 days from the date of issue. After 30 days, quotes may be subject to revision.
b) Payment Terms
All prices are in USD unless otherwise specified. GST/HST applies for Canadian residents only, in accordance with applicable tax law.
Full upfront payment is required before work begins, unless otherwise agreed in writing. Installment plans may be available for projects exceeding $500 USD and must be agreed upon in advance.
Music Notation Hub Inc. may carry out standard authorization or verification checks through its payment providers to ensure that sufficient funds are available to complete the transaction.
Accepted payment methods may include credit or debit cards (Visa, Mastercard, Discover, AMEX, Apple Pay, Google Pay — processed via Stripe), bank transfers (ACH, SEPA, CAD, GBP, AUD, NZD), Interac e-Transfer (Canada), PayPal, and Wise. Music Notation Hub Inc. does not store credit card details.
Deliverables will not be released until full payment has been received and cleared.
c) Late Payment
Where an installment plan has been agreed, failure to make a scheduled payment may result in suspension of work until payment is received. Music Notation Hub Inc. reserves the right to retain all Deliverables until full payment has been made.
13. Use of Contractors and Subcontractors
Music Notation Hub Inc. may engage qualified contractors, subcontractors, or freelance music professionals to assist in delivering the Services. All such contractors are bound by confidentiality obligations and are required to comply with these Terms of Use and any applicable NDA.
Music Notation Hub Inc. remains responsible for the quality and timely delivery of all Deliverables, regardless of whether the work is performed by internal team members or contractors.
The Client agrees that Music Notation Hub Inc. may delegate work to contractors without prior notice, provided that the quality standards and confidentiality protections described in these Terms of Use are maintained.
14. Disclaimer of Liability
The Website and all Services are provided on an "as is" and "as available" basis. While Music Notation Hub Inc. makes every reasonable effort to deliver Services with care and professionalism, no guarantee is made that the Website or Services will be uninterrupted, error-free, or free of technical issues.
To the fullest extent permitted by applicable law, Music Notation Hub Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of opportunity, business interruption, or reputational harm, arising out of or in connection with the use of the Website or the Services provided.
In all cases, the total aggregate liability of Music Notation Hub Inc. for any and all claims arising out of or relating to the Services shall be limited to the total amount paid by the Client for the specific Service giving rise to the claim.
Music Notation Hub Inc. shall not be liable for any damages arising from:
- The illicit, unauthorized, or inappropriate use of the Website or Deliverables;
- The Client's failure to obtain necessary rights, licenses, or permissions related to copyrighted materials;
- Inaccuracies or limitations in Deliverables caused by the quality of Source Materials provided by the Client;
- The Client's use of Deliverables for purposes beyond those described in the Order Confirmation or these Terms of Use;
- Any action taken by a copyright holder, publisher, or collective rights organization against the Client for unauthorized use of copyrighted material.
Music Notation Hub Inc. does not provide legal advice regarding copyright, licensing, intellectual property, or any other legal matter. Any information provided regarding copyright is for general informational purposes only and should not be relied upon as legal advice. The Client is solely responsible for obtaining independent legal counsel as needed.
15. Indemnification
The Client agrees to indemnify, defend, and hold harmless Music Notation Hub Inc., its directors, officers, employees, contractors, subcontractors, and affiliates, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and costs of investigation) arising out of or in connection with:
- The Client's misrepresentation of copyright ownership or authorization status;
- The Client's unauthorized use, distribution, publication, public performance, or commercial exploitation of Deliverables in violation of these Terms of Use or applicable copyright laws;
- Any third-party claim that Source Materials submitted by the Client infringe upon the intellectual property rights, privacy rights, moral rights, or other rights of any third party;
- The Client's failure to obtain required mechanical licenses, synchronization licenses, or other clearances for the use of copyrighted materials;
- Any claim by an AI platform provider related to the Client's use of AI-generated Source Materials;
- The Client's breach of any provision of these Terms of Use.
This indemnification obligation shall survive the termination or expiration of any agreement between the Client and Music Notation Hub Inc.
16. Complaints and Dispute Resolution
Music Notation Hub Inc. is committed to addressing complaints and resolving disputes in a fair and timely manner.
a) Informal Resolution
If you have any concerns, complaints, or comments regarding the Website or Services, you are encouraged to contact us first at [email protected] so that we may attempt to resolve the matter informally. Complaints should be submitted in writing and include sufficient details to allow proper review. Music Notation Hub Inc. will make reasonable efforts to respond within 5 business days.
b) Mediation
If a dispute cannot be resolved informally within 30 days, either party may propose mediation. Mediation shall be conducted in English, with a mutually agreed-upon mediator in Ottawa, Ontario, Canada (or remotely by agreement). The costs of mediation shall be shared equally between the parties unless otherwise agreed.
c) Litigation
If mediation is unsuccessful or if either party declines mediation, the dispute shall be submitted to the exclusive jurisdiction of the courts located in Ontario, Canada, in accordance with Section 19 (Applicable Laws).
17. Force Majeure
Music Notation Hub Inc. shall not be liable for any failure or delay in performing its obligations under these Terms of Use where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, epidemics, government actions or restrictions, war, terrorism, civil unrest, internet or telecommunications failures, power outages, cyberattacks, hardware or software failures, acts of God, or any other event that could not have been reasonably foreseen or prevented (a "Force Majeure Event").
In the event of a Force Majeure Event, Music Notation Hub Inc. will notify the Client as soon as reasonably practicable and will use reasonable efforts to mitigate the impact and resume performance. If a Force Majeure Event continues for more than 30 consecutive days, either party may terminate the affected order, and Music Notation Hub Inc. will refund any payment for Services not yet rendered.
18. Termination
Music Notation Hub Inc. may terminate or suspend the provision of Services immediately, without prior notice, if:
- The Client breaches any material provision of these Terms of Use;
- The Client provides false or misleading information regarding copyright ownership or authorization;
- The Client engages in abusive, threatening, or harassing conduct toward Music Notation Hub Inc. staff or contractors;
- Payment is not received in accordance with the agreed payment terms;
- Music Notation Hub Inc. reasonably believes that performing the Services would expose it to legal liability.
Upon termination by Music Notation Hub Inc. for cause, the Client shall not be entitled to a refund of any amounts paid. Upon termination by the Client without cause, the cancellation provisions in Section 9 shall apply.
Sections 5 (Intellectual Property), 10 (Accuracy), 14 (Disclaimer), 15 (Indemnification), 16 (Dispute Resolution), and 19 (Applicable Laws) shall survive the termination or expiration of any agreement.
19. Applicable Laws and Jurisdiction
These Terms of Use, and any relationship between Music Notation Hub Inc. and the Users of the Website or Services provided through it, shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, including the Copyright Act (R.S.C., 1985, c. C-42), without regard to conflict of law principles.
Any disputes arising out of or in connection with these Terms of Use or the Services provided shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
The Client acknowledges that Music Notation Hub Inc. operates under Canadian law and that the copyright laws and intellectual property regulations of the Client's jurisdiction may differ. The Client is solely responsible for ensuring compliance with the laws of their own jurisdiction when using the Deliverables.
20. Severability and Waiver
Severability: If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms of Use, and the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced, to the extent possible, with a valid and enforceable provision that most closely reflects the intent of the original provision.
Waiver: The failure of Music Notation Hub Inc. to enforce any right or provision of these Terms of Use shall not constitute a waiver of that right or provision. A waiver of any provision shall be effective only if made in writing and signed by Music Notation Hub Inc. No waiver of any provision shall be deemed a continuing waiver or a waiver of any other provision.
21. Updates to These Terms
Music Notation Hub Inc. reserves the right to modify or update these Terms of Use at any time. Material changes will be communicated by posting a notice on the Website and updating the "Last revised" date at the top of this page.
For active projects, the Terms of Use in effect at the time of Order Confirmation shall apply for the duration of that project. Continued use of the Website after changes are published constitutes acceptance of the updated Terms of Use for future orders.
